Market League — Terms & Conditions

1What the Market League is

1. The Market League ("League") is a free, skill-and-market-performance ranking game. Participants are ranked on a public leaderboard by the percentage change of a fixed set of stocks they lock in when they enter ("Entry Picks").
2. The League is for education, engagement and entertainment. It is not an investment product, a fund, a pool, a managed account, or a betting/gambling service.
3. Rankings reflect the notional percentage movement of publicly listed securities. No real trades are placed by Stockertim on your behalf, ever.

2No money in, no money out

1. Entry is completely free. Stockertim will never ask you for money, a deposit, a stake, a subscription upgrade, card details, wallet access, or any payment to enter, remain in, or improve your position.
2. You cannot win or lose money in the League itself. Leaderboard performance is notional. Your ranking has no monetary value and cannot be redeemed, sold or transferred.
3. The only thing of value awarded is the monthly Prize in Clause 9, given by Stockertim at its own cost. You are never required to pay anything to receive a Prize.
4. Anyone contacting you asking for money, fees, "taxes", "release fees", or financial credentials in connection with the Market League is not acting for Stockertim. Do not pay them; report it to us.

3Not financial advice

1. Nothing in the League — Entry Picks, leaderboards, prize stocks, other players' portfolios, or any content — is investment, financial, tax or legal advice, a recommendation, or a solicitation to buy or sell any security.
2. The League must not be used as a basis for any real investment decision. Past or notional performance is not indicative of future results. Markets carry risk, including total loss of capital.
3. You are solely responsible for your own real investment decisions and should consult a licensed, independent adviser before investing real money.
4. Stockertim Group and IBRG Holding Corporation Limited do not provide financial, investment or advisory services, and do not operate a trading, brokerage or dealing platform. No orders are placed, routed or executed through Stockertim. Stockertim is a provider of markets and financial intelligence, data and information for educational and informational purposes only. Any actual buying, holding or selling of securities happens with a duly licensed broker of your own choosing, at your own risk.

4Eligibility

1. You must have a valid, verified Stockertim account and be logged in to enter.
2. You must be at least 18 years old (or the age of majority in your jurisdiction, whichever is higher).
3. The League is void where prohibited by law. You are responsible for ensuring your participation is lawful where you live.
4. To be eligible to WIN a Prize, you must be legally able and eligible to buy, hold and invest in the Nigerian stock market (i.e. able to receive Nigerian-listed shares into a Nigerian brokerage account). You may still play and appear on the leaderboard if you are not, but you cannot receive a Prize.
5. Stockertim staff, contractors and their immediate families may participate for engagement but are not eligible to win Prizes.
6. One entry per account per season. Operating multiple accounts to gain an advantage is prohibited (Clause 8).

5How to enter, and the entry lock

1. To enter: log in → open Market League → Enter League → create/review your portfolio → accept these Terms → confirm. On confirmation you are locked in automatically.
2. At the moment you confirm, we take a snapshot of the stock holdings in your portfolio at that time. This snapshot becomes your fixed Entry Picks for the season.
3. Eligible markets. The League accepts stocks listed on the NGX (Nigeria), the United States markets and the United Kingdom (LSE) only. Holdings on any other market are automatically excluded from your Entry Picks; if none of your holdings are eligible you cannot enter.
4. Minimum and maximum stocks. Every entry must contain a minimum of 5 and a maximum of 15 eligible stocks. If you hold fewer than 5 eligible stocks you cannot enter until you add more; if you hold more than 15, you must reduce your portfolio to 15 or fewer eligible stocks before you can enter. These limits are counted after ineligible-market holdings are excluded (Clause 5.8).
5. Legal name & League nickname. You must hold a valid legal first and last name on your account to enter. Your real name is never shown publicly; you choose a unique League nickname (minimum four characters) to which we append the last four characters of your Gateway ID. That nickname is your public identity on the leaderboard and in League Chat.
6. Your Entry Picks cannot be edited, added to, removed, or reordered after you confirm. They are frozen for the entire season.
7. Your everyday portfolio stays separate and fully editable. Buying, selling or editing holdings after you enter has no effect on your Entry Picks and does not count toward the League. Only the frozen snapshot is scored.
8. Stocks you add to your portfolio after entry are not tracked for the current season. They may be used to enter a future season.
9. If your portfolio does not hold the required number of eligible stocks at entry (see Clause 5.10), you cannot enter until it does.
10. You may withdraw at any time. Withdrawing removes you from the leaderboard and ends your participation for the season. Once you withdraw you cannot re-enter the same season — your withdrawal is final. You may enter a future season.

6Entry window, cut-off and fairness

1. The League has a strict entry window. Entries close at 23:59 (Africa/Lagos, WAT) on 31 August 2026, immediately before the season begins on 1 September 2026.
2. After the cut-off, entry is closed — no new entries and no changes to existing Entry Picks. This guarantees every Participant is scored over the same period from the same starting line.
3. All Entry Picks are valued from the official season start using the same pricing source and the same timestamps for everyone, so no Participant gains a timing advantage.
4. Stockertim may publish dates for future seasons; each has its own entry window and cut-off.

7Scoring, leaderboard and ranking

1. Your League Score is the absolute percentage gain (or loss) of your Entry Picks from the season-start value to the current value — your locked portfolio's total performance, USD-normalised for fair comparison across markets.
2. The public leaderboard ranks Participants by League Score, highest first, and updates on a near-real-time basis during market hours; rankings move up and down as prices change.
3. Prices come from Stockertim's market-data providers and may be delayed; they are provided "as is".
4. In a tie, the earlier entry timestamp ranks higher. Stockertim's calculation of scores and rankings is final.
5. Corporate actions (splits, dividends, delistings, suspensions, mergers) are handled at our reasonable discretion to keep scoring fair, on the same basis for all affected Participants.

8Fair play & anti-corruption

1. The League is tamper-resistant by design: Entry Picks are frozen and time-stamped at entry, the entry window is enforced by a hard cut-off, and all scores are computed by Stockertim from a single, consistent pricing source.
2. Prohibited conduct includes multiple/fake accounts, automated or bulk entries, manipulating prices, exploiting bugs, tampering with data or requests, impersonation, or any attempt to gain an unfair advantage.
3. Stockertim may, at its sole discretion, disqualify, suspend, remove from the leaderboard, or void the entry of any Participant it reasonably believes has breached these Terms, without notice.
4. Stockertim may correct scores, rankings and results at any time to fix errors or abuse.

9Monthly Prizes

1. Each month during a season, the top 3 Participants on the leaderboard for that period each win a Prize, based on League Score over the qualifying period as published on the League page.
2. Each Prize is a Nigerian-listed stock worth approximately $10–$25 (the exact stock, share count and value band are chosen by Stockertim and announced with each award), delivered as real shares into the winner's account, arranged and paid for entirely by Stockertim. Values are approximate and may vary with market prices and exchange rates.
3. Prize fulfilment is carried out in partnership with Meristem Securities Limited — a stockbroking firm licensed and regulated by the Securities and Exchange Commission (SEC) of Nigeria and the Central Bank of Nigeria (CBN) — which delivers the prize shares to the winner. Stockertim funds the prizes; Meristem executes the share delivery through its regulated brokerage in accordance with its own terms and applicable Nigerian law.
4. To receive a Prize a winner must: (a) be eligible (Clause 4), including being legally able and eligible to buy, hold and invest in Nigerian-listed stocks; (b) verify their identity; and (c) hold or open a brokerage account with Meristem Securities Limited (or as otherwise required) to receive the shares, subject to Meristem's own onboarding, KYC and account terms. Stockertim guides winners through this at no cost, but cannot award a Prize to anyone who is unable to hold Nigerian shares or to be onboarded by the broker.
5. Prizes are non-transferable and not exchangeable for cash by Stockertim. Once shares are delivered, they are yours; whether you hold or sell is your decision and responsibility.
6. If a winner is ineligible, unverifiable, cannot receive the shares, or does not claim within the stated window, Stockertim may select an alternate or withhold the Prize.
7. You are responsible for any personal tax arising from a Prize. Stockertim gives no tax advice.
8. The number, size and frequency of Prizes are at Stockertim's discretion and may change between seasons.

10Data, privacy & publicity

1. To run the League we process your account ID, display name, entry snapshot and computed score. Your display name and score may appear publicly on the leaderboard and in a scrolling leaders ticker.
2. Your actual monetary amounts are never shown — only percentage performance and public display information. You can request a pseudonymous display name.
3. By entering you consent to Stockertim announcing winners (first name + last initial or a chosen display name) across Stockertim surfaces.
4. We process personal data under the Stockertim Privacy Policy.

11Notifications

1. We notify Participants of their leaderboard position weekly by email and/or in-app, and may send League updates. You can opt out of League emails at any time; opting out does not remove you from the League.

12Changes, suspension & termination

1. Stockertim may modify, pause, shorten, extend or cancel the League or any season at any time, including for technical, legal, fairness or force-majeure reasons.
2. Stockertim Group reserves the right, at its sole discretion and at any time, to update, revise, amend, add to or remove any part of these Terms and Conditions and the rules, structure, prizes, partners or operation of the Market League, with or without notice. The version shown on this page always governs; where practicable, material changes will be notified. Your continued participation after a change constitutes acceptance of the updated Terms.

13Disclaimers & limitation of liability

1. The League and all data are provided "as is" and "as available", without warranties of any kind, including accuracy, completeness, timeliness or fitness for a particular purpose.
2. Stockertim is not liable for any loss or damage arising from participation, reliance on League data, price errors or delays, downtime, disqualification, or inability to deliver a Prize, to the maximum extent permitted by law.
3. Nothing limits liability that cannot be limited by law.
4. You agree to indemnify Stockertim against claims arising from your breach of these Terms or misuse of the League.

14General

1. These Terms are governed by the laws of the Federal Republic of Nigeria, without prejudice to mandatory consumer protections where you live.
2. If any clause is unenforceable, the rest remain in force.
3. The League is not sponsored, endorsed or administered by, or associated with, any stock exchange, index provider or data vendor named or referenced. The relationship with Meristem Securities Limited is limited to prize fulfilment as described in Clauses 9 and 15.

15Operator, partner & full disclaimer

1. Operator & ownership. The Market League is fully owned and operated by IBRG Holding Corporation Limited, a company registered in the United Kingdom under company number 16451127, trading as Stockertim Group ("Stockertim"). The Market League is a product of Stockertim Group.
2. Prize-fulfilment partner. Monthly prizes are fulfilled in partnership with Meristem Securities Limited, a Nigerian stockbroking firm licensed and regulated by the Securities and Exchange Commission (SEC) of Nigeria and the Central Bank of Nigeria (CBN). Meristem's role is limited to delivering the prize shares to winners through its regulated brokerage.
3. No association. The Market League and Stockertim Group are not associated with, owned by, controlled by, endorsed by, or a subsidiary or agent of Meristem Securities Limited, and Meristem is not responsible for the Market League, its operation, rules, results or content. Equally, Stockertim does not act for Meristem. Any dealings you have with Meristem (e.g. opening or operating a brokerage account) are governed by Meristem's own terms and are between you and Meristem.
4. Not financial advice; not a trading platform. Stockertim Group and IBRG Holding Corporation Limited do not provide financial, investment, tax or advisory services and do not operate a trading, brokerage, dealing or order-execution platform. Stockertim is a provider of markets and financial intelligence, data and information for educational and informational purposes only. Nothing in the Market League or on Stockertim is a recommendation or solicitation to buy or sell any security, and nothing should be relied upon as advice.
5. Risk. Investing in securities involves risk, including the possible loss of capital. Prices and exchange rates fluctuate; past and notional performance is not indicative of future results. You are solely responsible for any real investment decisions and should seek independent, licensed advice before investing real money.
6. Right to amend. Stockertim Group reserves the right to update, revise or amend these Terms and the Market League at any time (Clause 12.2).
